Question 48. What responsibilities does a share certificate impose on the holder?

The holder of a fully paid share certificate has no responsibility and no liability. The only risk is in the event of the Anomim Company’s bankruptcy,
The partial or total loss of the money paid to purchase the Share Certificates.

During the establishment or capital increase of a joint stock company, any person who signs a “commitment letter” to purchase a certain number of shares and to pay a certain amount of money for none of these shares, must fulfill this commitment. These types of commitments are open-ended commitments.

For example: “I undertake to purchase 10 Shares with a nominal (written on the Share Certificate) value of TL 1,000. I will pay 25 percent of this amount and the remaining amount will be paid on the dates requested by the Board of Directors”.

The limit of liability of the shareholders who sign this type of “commitment letter” cannot exceed the total nominal (written on them) value of the shares that they have committed to purchase and have not paid in full.

Joint Stock Companies may demand “Interest for Delay” from the Share Certificate holders who have signed this type of commitment letter and do not pay their debts on time. It can remove them from the partnership. They can deduct late payment interest or penalties from the part they have already paid. If a fully paid-up joint stock company is dissolved or liquidated, the shareholders may be demanded to pay the unpaid portion of their share capital.
