Question 44. What is a stock certificate?

Only shares of joint stock companies are sold on the Stock Exchange. Joint Stock Companies are established according to the Turkish Commercial Code. According to the Turkish Commercial Code, each Joint Stock Company has a Statute and Articles of Association. This Statute and Articles of Association is approved by the Ministry of Trade and published in the newspaper. It is then reproduced (printed) and distributed by the Joint Stock Company to anyone who requests it.

The Statute – Articles of Association states the capital of the Joint Stock Company, how many shares this capital is divided into, and how many liras of capital each share (Share) represents.

According to our commercial code, the value of a share certificate cannot be less than 500 liras. Generally, today a share certificate is issued with a value of TL 1,000 or TL 10,000.

A share certificate is a “Negotiable Instrument”. When it is transferred, all rights attached to it are also transferred. The rights attached to the share certificate cannot be transferred without it.

In legal terms, a share certificate is a document with “circulation capability” (the ability to be bought and sold). Therefore, it is natural for it to be bought and sold. It must be issued in the manner specified in the law and contain the information specified in the law.

According to the law, a share certificate contains at least the following information

  • Title of the company,
  • Trade registry number and date of registration,
  • Authorized capital,
  • Type of share certificate (registered or bearer, name and founder, etc.),
  • The nominal value of a share certificate.
  • For registered share certificates, the name, surname and domicile of the shareholder,
  • Two authorized signatures,
